MakeBanc is a technology platform that connects capital owners with independent strategy operators. MakeBanc does not provide investment advice, custody services, or banking services.

1. Acceptance of Terms of Use

These terms of use are entered into by and between you and MB Technology Ltd, a Cayman Islands Exempted Company ("Company," "we," or "us"). The following terms and conditions, together with the Risk Disclosure Statement set forth in Appendix A (collectively, the "Terms of Use"), govern your access to and use of makebanc.com and any related application, including any content, functionality, and services (collectively, the "Services") offered on or through our platform (the "Platform").

Please read the Terms of Use carefully before you start to use the Platform. By using the Platform, you agree to be bound by and abide by these Terms of Use. If you do not agree to these Terms of Use, you must not access or use the Platform.

The Platform is offered and available to users who are at least 18 years of age and who are not restricted from using the Services based on their jurisdiction of residence or citizenship. The Services are not available to residents or citizens of any Restricted Jurisdiction as defined below.

"Restricted Jurisdiction" means any state, country, territory, or other jurisdiction that is sanctioned by the United Nations, or where your use of the Services would be illegal or otherwise violate any applicable law or regulation.

You are solely responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and restrictions in your jurisdiction. We do not guarantee the availability or legality of our Services in all jurisdictions.

2. Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Platform thereafter.

Your continued use of the Platform following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

3. Description of Services

3.1 Capital Orchestration

MakeBanc provides connectivity infrastructure that enables capital owners to allocate funds to strategies operated by independent, third-party strategy operators ("Capital Operators") through ERC-7540 vault smart contracts. All allocations are user-initiated, user-controlled, and executed on-chain.

MakeBanc does not hold, control, manage, or have custody of your digital assets at any point. You retain full ownership and control of your assets at all times through your own non-custodial wallet.

3.2 Strategy Index

The Platform displays a Strategy Type Index that categorizes available strategies into classifications such as Market Neutral, Market Arbitrage, Market Directional, and Multi-Strategy. These classifications are informational labels only and do not constitute recommendations, endorsements, or assessments of suitability. You are solely responsible for selecting strategies based on your own independent research and judgment.

3.3 Vault Infrastructure

When you allocate capital through the Platform, your assets interact with ERC-7540 vault smart contracts. The vault architecture uses a PendingVault and ActiveVault dual-token structure. Capital Operators execute strategies through Ceffu institutional custody and Binance SMA execution rails. All vault interactions (allocate, request redemption) are user-initiated. The Platform cannot modify, rebalance, or alter your allocations without your explicit action.

3.4 Intermediary Connectivity

Capital Intermediaries may use the Platform to introduce Capital Owners and Capital Operators to MakeBanc's technology infrastructure. Capital Intermediaries are not authorized to provide investment advice, make allocation recommendations, or represent strategy performance or suitability on behalf of MakeBanc.

4. Fees and Pricing

The Platform may charge technology infrastructure fees in connection with your use of the Services, as set out in the applicable fee schedule made available on the Platform. We reserve the right to modify our fee structure at any time, in our sole discretion, with reasonable notice.

In addition to Platform fees, you may incur blockchain network fees (gas fees) for on-chain transactions. These fees are paid to the underlying blockchain network and are outside our control.

Performance fees, where applicable, are attributes of the Capital Operator's strategy and are enforced by smart contract logic. These are not MakeBanc's fees. Fee structures for each strategy are disclosed on the Platform prior to any allocation.

5. Accessing the Platform and Security

We reserve the right to withdraw or amend this Platform, and any service or material we provide on the Platform, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Platform is unavailable at any time or for any period.

You are responsible for maintaining the confidentiality of your wallet's private keys and any account information associated with your use of our Services. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

6. Non-Custodial Nature and No Fiduciary Duties

The Platform and our Services are strictly non-custodial in nature. We do not have custody or control of your digital assets at any point. You are solely responsible for safeguarding your cryptographic private keys for your digital asset wallets and should not share your wallet credentials or seed phrase with any unauthorized party.

This Agreement does not create or impose any fiduciary duties on us. To the fullest extent permitted by law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived, and eliminated.

MakeBanc is a technology company, not a bank. We do not provide financial advice, accept funds for allocation on your behalf, or take custody of any assets.

7. Representations and Warranties

By accessing the Platform you represent and warrant that:

  • You have read and understood the Terms of Use, including the Risk Disclosure Statement.
  • You understand that MakeBanc provides technology infrastructure only and does not provide investment advice, custody services, or banking services.
  • You are not a resident, citizen, national, or agent of, or an entity organized, incorporated, or doing business in, any Restricted Jurisdiction including but not limited to: Belarus, Burundi, Crimea and Sevastopol, Cuba, Democratic Republic of Congo, Iran, Iraq, Libya, North Korea, Somalia, Sudan, Syria, Venezuela, Zimbabwe, or any other country subject to comprehensive sanctions.
  • You possess adequate financial and technical knowledge to understand the inherent risks associated with using cryptographic and blockchain-based systems, and allocating capital to digital asset strategies.
  • You understand that markets for digital assets are nascent and highly volatile, and that various risk factors including adoption, speculation, technology, security, and regulation can impact their value.
  • You assume full responsibility for all risks associated with accessing and using our Platform and the Services.
  • You are acting for your own account and on your own initiative, and are not relying on any communication from us as solicitation, recommendation, or allocation advice.
  • You are solely responsible for maintaining the security of your wallet and your control over any wallet-related authentication credentials, private or public cryptocurrency keys.
  • You understand that smart contract transactions are executed automatically and are irreversible once confirmed.

8. Permitted Use and Prohibited Activities

8.1 Permitted Use

You may use the Platform to access information about strategy operators and their historical performance, to allocate capital to strategies of your choosing through vault smart contracts, and to manage your allocations.

8.2 Prohibited Activities

You agree not to engage in any of the following activities:

  • Violating any applicable laws or regulations.
  • Infringing on intellectual property rights of the Company or any third party.
  • Engaging in market manipulation, fraudulent activities, or any deceptive practices.
  • Attempting to gain unauthorized access to our Services, other users' accounts, or any related systems.
  • Interfering with or disrupting the integrity of our Services.
  • Using our Services for money laundering, terrorist financing, or any other illegal activities.
  • Impersonating any person or entity or misrepresenting your affiliation.
  • Using any robots, spiders, crawlers, scrapers, or other automated tools not provided by us.
  • Introducing any malicious software or code.
  • Engaging in any activity that could damage, disable, or impair the functioning of our Services.

9. Compliance with Applicable Laws

As a condition to accessing or using the Platform and the Services, you agree that you will not violate any applicable law, including any relevant anti-money laundering and anti-terrorist financing laws, any relevant privacy and data collection laws, and any applicable export laws or regulations.

10. Intellectual Property

Unless otherwise provided herein, the Platform and its entire contents, features, and functionality are owned by the Company, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to these terms, we grant you a limited, non-transferable, non-sublicensable, non-exclusive, revocable license to use the Platform and its content for personal use.

11. Disclaimer of Warranties

THE PLATFORM AND THE SERVICES ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS, WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT. THE COMPANY MAKES NO WARRANTY OR REPRESENTATION AND DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR THE COMPLETENESS, ACCURACY, AVAILABILITY, TIMELINESS, SECURITY, OR RELIABILITY OF THE SERVICES AND PLATFORM.

12. Limitation of Liability

IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY. THE COMPANY'S TOTAL LIABILITY TO YOU FOR ANY DAMAGES FINALLY AWARDED SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID THE COMPANY, IF ANY, IN THE PAST SIX MONTHS.

13. Indemnification

You agree that you will be personally responsible for your use of our Platform, and you agree to defend, indemnify, and hold us, our officers, directors, employees, consultants, affiliates, subsidiaries, and agents harmless from and against any and all claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to, use of, or alleged use of our Platform or Services; your violation of the Terms of Use; your violation of any third-party right; or any disputes between you and any third party.

14. Third-Party Services and Materials

The Platform may display, include, or make available services, content, data, information, applications, or materials from third parties. The Company does not endorse any Third-Party Services and Materials. You agree that your access and use of such materials is governed solely by the terms and conditions of such third parties.

15. Suspension and Termination

We may suspend your access to your account if we have a reasonable basis to believe the use of your account violates applicable laws or is in violation of these Terms of Use. We may terminate or suspend your access to all or part of the Platform or the Services for any or no reason, with or without notice.

You may terminate and close your account at any time without giving any prior notice.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the Cayman Islands, without regard to any conflict of law principles.

16.2 Arbitration

Any disputes or claims arising in connection with these terms shall be conclusively and exclusively resolved through arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration proceedings shall be conducted in English, and the seat of arbitration shall be located in the Cayman Islands.

16.3 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WE AGREE THAT THERE WILL BE NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT, HEARD, OR ARBITRATED AS A CLASS ACTION, OR IN A REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL CAPACITY. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY.

17. Miscellaneous

  • Entire Agreement. These Terms of Use constitute the entire and exclusive understanding and agreement between you and us regarding your use of and access to the Platform and the Services.
  • No Waiver. The failure to require performance of any provision shall not affect our right to require performance at any time thereafter.
  • Severability. In the event that any part of the Terms of Use is held to be invalid or unenforceable, the unenforceable part shall be given effect to the greatest extent possible.
  • Assignment. You may not assign your rights or obligations under these Terms of Use. The Company may transfer its rights and obligations without your consent.
  • Electronic Communication. By agreeing to these Terms, you consent to Company delivering communications to you in electronic form.

18. Privacy Policy

Our Privacy Policy describes how we handle the information you provide to us when you use the Platform. Please refer to the separate MakeBanc Privacy Policy for a complete explanation of our privacy practices.
