This Risk Disclosure Statement provides you with information about some of the key risks associated with using the MakeBanc platform and its Services. This is not a comprehensive list of every risk you may face. You must make your own independent decision to access or use the Platform and the Services, and should seek any independent professional advice that you consider necessary or desirable.

MakeBanc is a technology platform that connects capital owners with independent strategy operators. MakeBanc does not provide investment advice, custody services, or banking services. Past performance is not indicative of future results.

1. General Awareness

The digital asset ecosystem involves inherent risks that differ fundamentally from traditional financial instruments. The risks described below apply to your use of the MakeBanc platform and to the broader activity of allocating capital to digital asset strategies. Before using the Platform, you should carefully assess whether our Services align with your financial situation, risk tolerance, and personal circumstances.

The Company does not provide or offer any financial services or financial products. Nothing contained on the Platform or during the provision of the Services can be construed as a solicitation, recommendation, or offer to acquire or dispose of any security, commodity, or investment, or to engage in any other financial transaction.

2. Digital Asset Risks

2.1 Volatility and Loss of Value

The price of digital assets can be highly unpredictable and volatile. Digital assets might become valueless in the future. Allocating capital to digital asset strategies involves substantial risks, including the potential for severe or total loss. You should carefully consider whether allocating capital through the Platform aligns with your financial situation and risk tolerance.

2.2 No Deposit Protection

Digital assets are not deposits and are not guaranteed by a bank or insured by any governmental deposit protection agency. There is no equivalent of the FDIC, FSCS, or similar consumer protection scheme covering digital assets. In the event of failure, bankruptcy, or liquidation of any party involved in the Services, you may not be protected by consumer protection laws in your local jurisdiction and may not recover your capital.

2.3 Irreversibility of Transactions

Blockchain transactions are permanent and immutable. Once confirmed, transactions (including capital allocations and vault interactions) cannot be undone by you, by MakeBanc, or by anyone else. You are responsible for verifying all details before confirming any transaction.

3. Smart Contract and Technology Risks

3.1 Smart Contract Vulnerabilities

Smart contracts execute automatically when predefined conditions are met. They typically cannot be stopped or reversed once deployed. Vulnerabilities in smart contract programming and design, or vulnerabilities that arise due to hacking or other security incidents, can have adverse effects on your digital assets, including significant volatility and risk of loss.

The ERC-7540 vault contracts used by MakeBanc, while audited, are complex software systems. No audit can guarantee the absence of all vulnerabilities. The dual-token vault structure (PendingVault/ActiveVault) involves state transitions and processing periods that introduce additional complexity and risk.

3.2 Blockchain Infrastructure Risks

There are inherent risks associated with using or interacting with public blockchains and blockchain technology. There is no guarantee that such technology will be free from errors, hacking, or other security risks. Underlying blockchain protocols may be subject to sudden changes in operating rules, including forks, and it is your responsibility to make yourself aware of upcoming operating changes.

The cost and speed of transacting on blockchain networks such as Ethereum can vary significantly. Network congestion may result in delayed transaction processing and higher gas fees. These factors are outside MakeBanc's control.

3.3 Oracle Risks

Certain vault operations depend on external price oracles for Net Asset Value (NAV) calculations. Oracle failures, manipulation, or delayed updates could result in inaccurate pricing, affecting allocations, redemptions, and the reported value of your vault positions.

4. Custody and Wallet Risks

MakeBanc does not have custody or control over the contents of your wallet and has no ability to retrieve or transfer its contents. You are solely responsible for maintaining the security of your wallet, including all authentication credentials, private keys, and seed phrases.

Any unauthorized access to your wallet by third parties could result in the loss or theft of your assets. If your private keys are lost, there is no mechanism to recover your assets.

Your keys. Your responsibility. MakeBanc cannot access, recover, freeze, or reverse transactions involving your wallet.

5. Strategy Operator Risks

5.1 Independent Third Parties

Capital Operators are independent third-party entities that are not controlled, managed, employed by, or affiliated with MakeBanc. MakeBanc provides technology infrastructure that enables connectivity between Capital Owners and Capital Operators. MakeBanc does not select, vet, endorse, recommend, or guarantee any Capital Operator or their strategies.

5.2 Performance Data

Performance data displayed on the Platform is reported by the Capital Operator and has not been independently verified by MakeBanc. Historical performance is not indicative of future results. Strategy performance is variable and may result in partial or total loss of allocated capital.

5.3 Counterparty Risk

While MakeBanc uses Ceffu institutional custody and Binance SMA execution rails as part of its infrastructure, these are third-party services with their own risk profiles. Failure, compromise, or insolvency of any third-party infrastructure provider could affect the execution or security of strategies.

5.4 Liquidity Risk

Redemption requests from vaults are subject to processing periods and liquidity constraints. There may be circumstances where redemptions are delayed or where the full amount of an allocation cannot be immediately returned.

6. Regulatory and Legal Risks

6.1 Evolving Regulatory Landscape

The legal and regulatory landscape concerning digital assets continues to develop at a rapid pace. New laws and regulations may be enacted in the future that apply to blockchain technology, digital assets, and related service providers, which may adversely affect digital assets generally or the provision of the Services to you.

The Company may be required to limit the availability of the Platform or the Services to users based on their citizenship, residence, or location. However, you remain solely responsible for complying with any and all local regulations, directives, restrictions, and laws applicable to you.

6.2 Tax Implications

Using our Services may involve transactions that have tax implications in your jurisdiction, including capital gains tax, income tax, or value-added tax. You are solely responsible for determining and fulfilling any tax obligations that arise from your use of the Platform.

6.3 Cross-Border Risks

Using our Services may involve cross-border transactions, which can be subject to additional legal, regulatory, and tax implications. You are responsible for understanding and complying with all applicable laws related to such transactions.

7. Cybersecurity Risks

Malicious individuals, groups, or organisations may attempt to interfere with the Platform in a variety of ways, including malware attacks, denial-of-service attacks, coordinated attacks, account takeovers, and submitting fake transactions.

Cyberattacks include but are not limited to gaining unauthorized access to digital systems for purposes of misappropriating assets or sensitive information, corrupting data, or causing operational disruption.

It is your responsibility to ensure that your access credentials are kept secure and confidential, and that the security and integrity of any systems you use to access the Services are maintained.

8. Accuracy of Information

While we endeavour to keep the information displayed on the Platform as accurate as possible, there is a risk that information may not be correct, complete, or current. This includes performance data, strategy descriptions, fee structures, and any other information displayed on the Platform.

9. No Financial Advice

No information set out on the Platform or during the provision of the Services constitutes investment advice, a recommendation, or a representation about the suitability or appropriateness of any strategy or allocation. The Strategy Type Index (Market Neutral, Market Arbitrage, Market Directional, Multi-Strategy) is a classification system for informational purposes only.

You are solely responsible for determining the nature, potential value, suitability, and appropriateness of the Services and the related risks for yourself. MakeBanc provides technology infrastructure only.

10. Additional Risks

This document does not describe every risk associated with using the Platform or allocating capital to digital asset strategies. Additional risks that may not be foreseeable at this time may emerge as the technology, regulatory landscape, and market conditions evolve.

Risks include but are not limited to:

  • Loss of access to assets due to loss of private keys, custodial error, or user error
  • Vulnerability to blockchain attacks
  • Exposure to hacking, security weaknesses, or exploits
  • Unfavourable regulatory actions in one or more jurisdictions
  • Complications related to taxation and accounting of digital assets
  • Susceptibility to unexpected or volatile market behaviour
  • Vulnerability to smart contract bugs or weaknesses
  • Irreversibility of blockchain transactions and potential for high fees during network congestion
  • Variability and uncertainty of strategy returns
  • Uncertain and changing regulatory landscape for digital assets and DeFi services

11. Your Acknowledgement

By using the Platform, you confirm that you have read and understood this Risk Disclosure Statement. You acknowledge that allocating capital to digital asset strategies carries inherent risks, that past performance is not indicative of future results, and that you may lose some or all of the capital you allocate.

You confirm that you have made your decision to use the Platform independently and have not relied on any communication from MakeBanc as investment advice, a recommendation, or a solicitation.
